1. Introduction

Welcome to Collectbase Inc. /dba/ Collectibles.com (“Collectibles.com,” “we,” “us,” or “our”). These Terms of Service (the “Terms” or “Agreement”) constitute a legally binding agreement between you (“you,” “your,” or “User”) and XYZ, governing your use of:

• Our collection management platform, which allows you to organize, catalog, track and value your collectibles (“Collectibles”).

• Commerce features, including the purchase of Repackz™
• Any community or user-generated content features, such as image galleries, forums or comment sections.

• Other services, websites, or applications we operate (collectively, the “Service”).

• Section 14 of this agreement contains your opt-in consent to receive communications from us.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree with them, you must not use the Service.

IMPORTANT: This Agreement contains a mandatory arbitration clause, class-action waiver, and limitations of liability that affect your legal rights. Please read carefully.

2. Eligibility & Your Responsibilities

• Age Requirement

  ○

  You must be at least 18 years old (or the age of majority in your jurisdiction, whichever is greater) to use our Service. By using the Service, you represent and warrant that you meet this requirement and will not allow minors to access your account.

• Account Creation & Accuracy

  ○

  Certain features and services require an account. You agree to provide accurate and complete information and promptly update it if changes occur. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

• Compliance with Laws

  ○

  You agree to comply with all applicable laws and regulations in connection with your use of the Service. You represent that your use of the Service is lawful in your jurisdiction.

• Changes to Terms

  ○

  Collectibles.com may revise these Terms at any time, posting the updated version and adjusting the “Last Updated” date. If we make material changes, we will attempt to notify you. Your continued use of the Service after such changes become effective constitutes your acceptance of the updated Terms.

3. Collection Management Service

• Core Functionality

  ○

  Our Service provides tools for organizing, cataloging, and tracking your Collectibles. You may upload information, photos, or other data about your items.

• Valuation & AI Tools

  ○

  We may offer AI-assisted or other automated valuation features, combined with proprietary collectibles market data. These are provided for informational purposes only and do not guarantee accuracy or reflect actual market values.

  ○

  You acknowledge and accept the risks of relying on any automated or algorithmic valuations.

• Data & Availability

  ○

  While we strive for secure and consistent access, we do not guarantee the Service will be uninterrupted or error-free. You are responsible for maintaining backups of any data you consider valuable.

4. User Content & Community Features

• User Content

  ○

  You may post or upload content (User Content), including text, images, or comments via forums, chats, or other community tools. By doing so, you grant Collectibles.com the rights for a non-exclusive, worldwide, royalty-free license to use, sublicense, modify, adapt, display, reproduce, and distribute your content in connection with the Service, and such User Content (in whole or in part) may be used for the purposes of (i) providing the Service, including making User Content available to other Users in accordance with your elections on the Service, (ii) improving the Service, and (iii) advertising and promoting Collectibles.com and its products and Service. You also hereby grant each other User of the Service a non-exclusive license to access your User Content through the Service, and to use, reproduce, distribute, display and perform such User Content solely as permitted through the functionality of the Service and under this Agreement.

• Acceptable Use

  ○

  You agree not to upload content that is unlawful, defamatory, infringing, harassing, or otherwise objectionable. You must not attempt to disrupt the Service (e.g., hacking, spamming, introducing malware).

• Monitoring & Removal

  ○

  Collectibles.com reserves the right (but has no obligation) to monitor user content and remove any content or user account deemed in violation of these Terms, Community Guidelines or any applicable law.

• Community Guidelines

  ○

  In addition to these Terms, you agree to comply with our Community Guidelines. These guidelines outline acceptable conduct, prohibited content, and other rules to ensure a respectful and safe environment for all users. By participating in any community or user-generated content features, you acknowledge that you have read, understood, and agree to abide by these Guidelines.

  ○

  We reserve the right (but have no obligation) to monitor community interactions and enforce the Guidelines. Violations may result in the removal of content, suspension or termination of your account, and/or other remedial actions at our discretion. 5. Repackz™ (Product)

• Randomized Purchase

  ○

  We offer Repackz™ by Collectibles.com, which allow you to purchase a randomized selection of Collectibles for a fixed price. You have no ability to choose specific items. Assignment of items is determined automatically and algorithmically at the time of purchase, and animations do not alter your outcome.

• All Purchases Final

  ○

  All purchases are final once made and especially after items are revealed. We do not offer refunds for purchases of Repackz under any circumstances. You may, however, choose to accept our Buyback Offer after any purchase, understanding that the amount of such offer is not subject to any negotiation whatsoever, and that the offer itself is not to be viewed as any type of partial refund, but rather a fair offer to purchase the item based solely on the value of the item.

• Opening & Reveal

  ○

  Depending on our rules, you may open or reveal the contents of a Repack immediately or after certain conditions. We may implement auto-reveal if a Repack remains unopened beyond a set time.

• Professional Grading Assurance

  ○

  Except when otherwise indicated, all Collectibles provided in our Repackz™ are professionally graded by a recognized third-party grading service (e.g., PSA, CGC, Beckett, etc). Each item’s grade is determined exclusively by the respective grading agency.

• No Guarantees

  ○

  Independent of the grading provided by 3rd party, we make no guarantee regarding the condition, rarity, or market value of any item you receive from a Repack.

• Buyback Offer

  ○

  Upon opening a Repack, we will always extend an offer (“Buyback Offer”) to buy back any revealed items at a percentage of our determined fair market value.

  ○

  Fair Market Value: We alone determine the valuation model and do not disclose its specifics. It is not negotiable nor subject to debate or dispute.

  ○

  Transaction Finality: If you accept our Buyback Offer for any item(s), the transaction is final andirrevocable; ownership of the item(s) transfers to us, and you receive the stated buyback amount

• Entertainment Animations

  ○

  Digital animations or reveal sequences may accompany the opening of a Repack for entertainment purposes only. These animations do not affect the assignment or odds of the item(s) you receive. Assignment of items is determined automatically and algorithmically at the time of purchase, and animations do not alter your outcome.

6. Vaulting, Shipping & Insurance

• Vaulting

  ○

  Graded Collectibles are held in a secure 3rd-party vault (Partner) for safekeeping. By purchasing or otherwise owning these Collectibles, you acknowledge and agree that the Partner handles day-to-day storage, security, and related insurance coverage.

• Insurance Coverage

  ○

  Partner maintains an insurance policy to protect Collectibles in its custody. Coverage applies solely as detailed in Partner’s own terms and policy documents. We do not provide supplemental insurance beyond Partner’s coverage terms, which may contain limitations, exclusions, or deductibles.

• Shipping

  ○

  Partner is solely responsible for all shipping logistics related to these Collectibles (e.g., upon redemption or transfer), including packaging, carrier selection, transit security, and delivery timelines. Collectibles.com makes no guarantee regarding shipping speed, carrier performance, or final delivery times and disclaims liability for any shipping-related delays or issues beyond Partner’s coverage.

• Limitation of Liability

  ○

  As we choose to work with reputable partners, Collectibles.com is not liable for any loss, theft, damage, grading dispute, or other incident beyond the insurance or indemnification provided by Partner. All claims arising from the handling, storage, or misgrading of items must be addressed subject to Partner’s policies, as applicable.

7. Payment, Fees, & Taxes

• Methods & Authorization

  ○

  We may accept credit cards, PayPal, cryptocurrencies, or other payment methods. By providing payment details, you represent you are authorized to use them. You authorize us to charge all fees to that method.

• Pricing & Availability

  ○

  We may change the price or availability of collection management, Repackz™ and other services at any time, without notice. We may refuse or limit any transaction if we suspect fraudulent or unlawful activity.

• All Sales Final

  ○

  All sales of Repackz™ and any subsequent Buyback transactions are final once completed. We do not offer refunds except where required by law or explicitly stated.

• Taxes

  ○

  You are responsible for any taxes, duties, or other governmental fees incurred. We do not withhold or pay taxes on your behalf unless required by law.

8. Age Restriction & Privacy Policy

• No Use by Children

  ○

  The Service is not directed at children under 13 (or the age of majority in your jurisdiction, if higher). If you learn that a minor has provided us personal data without consent, contact us so we can remove the data and terminate the account if required.

• Privacy Policy

  ○

  Please refer to our Privacy Policy for information about how we collect, use and share personal information about you. By submitting data through the Service, you expressly consent to the collection, use and disclosure of your personal data in accordance with the Privacy Policy.

9. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE (INCLUDING COLLECTION MANAGEMENT TOOLS, REPACKZ™, BUYBACK OFFERS, AND ANY COMMUNITY FEATURES) IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY WARRANTIES, WHETHER EXPRESS OR IMPLIED. COLLECTIBLES.COM HEREBY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AS WELL AS ANY WARRANTIES ARISING BY COURSE OF DEALING OR USAGE OF TRADE.

• We do not guarantee the Service will be error-free, timely, or uninterrupted.
• We do not guarantee that Repackz™ will meet your expectations regarding item value, rarity, or condition.
• We do not guarantee any valuation or buyback price will match external markets or your anticipated results.

10. Limitation of Liability

• Exclusion of Certain Damages

  TO THE MAXIMUM EXTENT ALLOWED BY LAW, COLLECTIBLES.COM (INCLUDING ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS) SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS OR LOST DATA, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE OR THESE TERMS.

• Aggregate Liability Cap

  EXCEPT WHERE PROHIBITED BY LAW, COLLECTIBLES.COM’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF (A) USD $100, OR (B) THE AMOUNT YOU PAID DIRECTLY TO COLLECTIBLES.COM FOR THE REPACK OR BUYBACK TRANSACTION AT ISSUE.

• Essential Basis of the Bargain

  YOU ACKNOWLEDGE AND AGREE THAT THESE LIMITATIONS OF LIABILITY REFLECT A REASONABLE ALLOCATION OF RISK AND ARE A FUNDAMENTAL ELEMENT OF THIS AGREEMENT.

11. Release & Indemnification

• Valuation & AI Tools

  ○

  You hereby release and forever discharge Collectibles.com and its affiliates from all claims, demands, or damages (actual or consequential) arising out of any dispute or issue related to your use of the Service.

  ○

  If you are a California resident, you waive California Civil Code §1542, which states that a general release does not extend to unknown claims that, if known, would have materially affected the settlement.

• Indemnification

  ○

  You agree to indemnify, defend, and hold harmless Collectibles.com, its affiliates, and their respective officers, directors, employees, or agents from all claims, damages, losses, liabilities, or expenses (including reasonable attorneys’ fees) arising out of your use or misuse of the Service, your breach of these Terms, or your violation of any law or third-party right.

12. Dispute Resolution

• Governing Law

  These Terms and any related disputes are governed by the laws of Texas, without regard to conflict-of-law principles.

• Mandatory Arbitration & Class Action Waiver

  ○

  Except where prohibited by law, any dispute arising from or relating to these Terms or the Service shall be resolved by binding arbitration. You waive any right to a jury trial or to participate in a class action.

  ○

  If arbitration is not applicable or enforceable, any claims shall be brought exclusively in the state or federal courts located in Austin, TX. You consent to personal jurisdiction in those courts.

• Time Limit

  ○

  Any claim you have against Collectibles.com must be filed within one (1) year of the date the claim arose, or it is forever waived.

13. Legal Compliance, Governing Law, and Service Modifications

• Export Control and Compliance

  ○

  The Service may be subject to U.S. export control laws and import/export regulations in other jurisdictions. You agree not to use, export, reexport, or transfer, directly or indirectly, any U.S. technical data acquired from Collectibles.com or any products utilizing such data in violation of applicable U.S. laws or regulations. You may not use, export, import, or transfer the Service except as expressly authorized by U.S. law, the laws of the jurisdiction in which you access the Service.

• Governing Law and Jurisdiction

  ○

  This Agreement, including any disputes arising from or relating to your use of the Service, shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict-of-law principles that would result in the application of any other jurisdiction’s laws. Any dispute that is not subject to arbitration and cannot be resolved in small claims court shall be exclusively litigated in the state or federal courts located in Austin, Texas. You expressly consent to the jurisdiction and venue of such courts.

• Service Modifications and Termination

  ○

  Collectibles.com reserves the right, at its sole discretion, to:
  a). Modify, suspend, or discontinue the Service (or any portion of it), whether temporarily or permanently, at any time, with or without notice.
  b). Terminate or restrict your access to the Service for any reason, or no reason, at any time.

  ○

  You acknowledge and agree that Collectibles.com shall have no liability or obligation to you in connection with any such modification, suspension, or termination, and you will not be entitled to any refund for amounts previously paid to Collectibles.com, to the fullest extent permitted by law.

• Severability and Waiver

  ○

  If any term, clause, or provision of this Agreement is found to be invalid or unenforceable, that provision shall be severed from the Agreement, and the remaining provisions shall remain in full force and effect.

  ○

  Failure by Collectibles.com to assert any right or enforce any provision under this Agreement shall not constitute a waiver of such right or provision.

• Assignment and Third-Party Rights

  ○

  You may not assign or transfer your rights or obligations under this Agreement without prior written consent from Collectibles.com. Collectibles.com may freely assign its rights and obligations under this Agreement without restriction.

  ○

  Except as expressly stated, this Agreement is solely for the benefit of you and Collectibles.com and does not confer any third-party beneficiary rights.

14. Consent to Electronic Communication

• ○

  By contacting Collectibles.com via email or through a social media property, or by using the Service, you consent to receive electronic communications from Collectibles.com (e.g., via email or by posting notices to the Service or to Collectibles.com’s official accounts on social media properties). These communications may include notices about your use of the Service (e.g., transactional information) and are part of your relationship with us. You agree that any notices, agreements, disclosures or other communications that we send to you electronically will satisfy any legal communication requirements, including, but not limited to, that such communications be in writing. You should maintain copies of electronic communications from us by printing a paper copy or saving an electronic copy. We have no obligation to store for your later use or access any such electronic communications that we make to you.

15. General

• Entire Agreement

  These Terms, together with any policies or documents referenced herein, constitute the entire agreement between you and Collectibles.com regarding the Service, superseding all prior agreements.

• Severability

  ○

  If any provision is found invalid or unenforceable, the remaining provisions remain in full force and effect.

• No Waiver

  ○

  Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

• Assignment

  ○

  You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may freely assign or transfer these Terms.

• Force Majeure

  ○

  Collectibles.com will not be liable for any delay or failure resulting from circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or government action.
